Introduction
These Terms & Conditions ("Terms") govern your access to and use of the Venue Abode platform ("Platform"), an online marketplace connecting users with independent venue vendors for booking function halls, event spaces, and related services.
Platform Role & Disclaimer
Venue Abode operates solely as an intermediary technology platform. We facilitate discovery, communication, and booking between users and vendors. We explicitly:
- Do not own, operate, or manage any listed venue
- Do not guarantee service quality, availability, or pricing accuracy
- Are not a party to any agreement between a user and a vendor
- Do not act as an agent, representative, or guarantor of any vendor
User Eligibility
To use the Platform, you must:
- Be at least 18 years of age or the legal age of majority in your jurisdiction
- Be legally capable of entering into binding agreements
- Provide accurate, complete, and current information during registration and throughout use
- Not be barred from receiving services under applicable law
Account Responsibility
You are solely responsible for:
- Maintaining the confidentiality of your login credentials
- All activities conducted under your account
- Promptly notifying us of any unauthorised access or security breach
Venue Abode is not liable for any loss resulting from unauthorised use of your account due to your failure to safeguard credentials.
Booking Relationship
All bookings made on the Platform constitute a direct contractual relationship between the user and the vendor. Venue Abode's role is limited to facilitating:
Venue Abode has no authority to modify, enforce, or guarantee the terms of any vendor agreement.
Payments & Charges
The following payment terms apply:
- Confirmation: A booking is confirmed only upon successful payment and receipt of a system-generated confirmation.
- Payment Structure: Advance or full payment terms are determined and enforced solely by the vendor.
- Platform Fees: A platform fee, convenience charge, and/or applicable GST may be levied on each transaction.
- Non-Refundable Fees: Platform fees are generally non-refundable unless explicitly stated otherwise in writing.
- Balance Payments: Remaining amounts, if applicable, are payable directly per vendor terms.
Vendor Responsibilities
By listing on Venue Abode, vendors agree to:
- Provide accurate, truthful, and up-to-date listing details (venue specs, pricing, photos, capacity)
- Maintain a current availability calendar to avoid double bookings
- Honour all confirmed bookings without unauthorised cancellation or modification
- Comply with all applicable laws, safety regulations, and local authority requirements
- Respond to user enquiries and messages within a reasonable time
- Inform Venue Abode of any disputes, cancellations, or closures promptly
Prohibited Activities
The following actions are strictly prohibited on the Platform:
- Providing false, misleading, or deceptive information
- Engaging in fraudulent transactions or misrepresentation of identity
- Circumventing the Platform to complete bookings outside the system after initial contact via Venue Abode
- Manipulating reviews, ratings, or search rankings
- Harassing, threatening, or abusing users, vendors, or Venue Abode staff
- Uploading unlawful, infringing, or inappropriate content
- Using automated bots, scrapers, or scripts to access the Platform
Intellectual Property
All Platform content — including but not limited to branding, logos, interface design, software, and written content — is the intellectual property of Venue Abode and protected under applicable IP law.
Limitation of Liability
To the maximum extent permitted by law, Venue Abode shall not be liable for:
- Vendor service quality, conduct, or performance
- Cancellations, booking disputes, or event disruptions
- Losses, damages, or injuries arising from use of a listed venue
- Indirect, incidental, consequential, or punitive damages
Indemnification
Users and vendors agree to indemnify, defend, and hold harmless Venue Abode, its directors, employees, and affiliates against any claims, liabilities, damages, losses, or expenses (including legal fees) arising from:
- Breach of these Terms
- Misrepresentation or fraudulent activity
- Failure to fulfil contractual obligations to the other party
- Violation of any applicable law or third-party rights
Platform Availability
Venue Abode does not guarantee uninterrupted, error-free access to the Platform. We reserve the right to suspend, modify, or discontinue any part of the Platform at any time, including for scheduled or emergency maintenance, without prior notice.
Suspension & Termination
We reserve the right to suspend or terminate any account, at our sole discretion and without prior notice, for:
- Fraudulent or unlawful activity
- Serious or repeated violations of these Terms
- Abuse of the Platform or other users
- Conduct damaging to Venue Abode's reputation or operations
Upon termination, all rights granted under these Terms immediately cease.
Amendments to Terms
Venue Abode may update these Terms at any time. Changes will be posted on the Platform with the updated effective date. Continued use of the Platform after any revision constitutes your acceptance of the revised Terms. We encourage you to review these Terms periodically.
Governing Law & Jurisdiction
These Terms shall be governed by and construed in accordance with the laws of India. Any disputes shall be subject to the exclusive jurisdiction of the courts of Bangalore, Karnataka.
Dispute Resolution
In the event of any dispute arising from or related to these Terms:
- Amicable Resolution: Parties shall first attempt good-faith negotiation within 15 days of the dispute arising.
- Mediation: If unresolved, the dispute may be referred to a mutually agreed mediator.
- Arbitration: If mediation fails, disputes shall be resolved through binding arbitration under the Arbitration and Conciliation Act, 1996 (India).
Courts of Bangalore, Karnataka retain final jurisdiction.
Accessibility & Non-Discrimination
Venue Abode is committed to providing equal access to all users. Vendors listed on the Platform agree not to discriminate against users on the basis of religion, caste, gender, disability, or any other protected characteristic under applicable Indian law.
User-Generated Content
Users and vendors may post reviews, photos, and descriptions on the Platform. By posting content, you grant Venue Abode a perpetual, royalty-free licence to use and display that content. You are solely responsible for the accuracy and legality of any content you submit.
Venue Abode reserves the right to remove any content that violates these Terms or is otherwise objectionable.
